My Exit Strategy Terms and Conditions

1. Introduction

My Exit Strategy is a trading division of Thinkroom Australia Pty Limited, ABN 24 635 528 773 (“My Exit Strategy”, “we”, “us”, “our”). These Terms of Engagement govern your use of our website at https://myexitstrategy.com.au/ (“Website”) and your engagement with our services. By accepting a quote, proposal, or statement of work from us, or by using our Website, you agree to be bound by these terms. In these terms, “you”, “your”, and “Client” refers to you, our client. A “party” refers to either you or us, or both, depending on context.

2. Services

My Exit Strategy provides business advisory, exit strategy, operational restructuring, revenue systems design, profitability optimisation, and succession planning services (“Services”). We warrant that our Services and Deliverables will be provided with reasonable care and skill, except where circumstances outside our control delay or prevent performance – including your failure to provide requested information or materials in a timely manner.
For the avoidance of doubt, we are not liable for Deliverables or Services not agreed in writing in a quote, proposal, or statement of work. Where we engage financial partners, advisors, or other third parties to contribute to your engagement, and where you have a separate agreement with those parties, we are not liable for their performance and are not party to those agreements.
All strategic, advisory, or developmental input provided by My Exit Strategy is given on a non-executive, non-fiduciary, and recommendatory basis only. You retain sole responsibility for all decisions, actions, and implementation undertaken in reliance on our input.
EXCEPT FOR THE EXPRESS WARRANTIES STATED IN THESE TERMS, WE MAKE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

3. Indemnity / Limitation of Liability

You indemnify My Exit Strategy and its representatives from any liability arising from your reliance on our Services, your compliance with applicable laws, and your use of our Deliverables. You acknowledge that our team members are not chartered accountants or legal professionals, and that you should seek independent advice on any financial, tax, or legal matter.
My Exit Strategy accepts no liability for losses incurred due to late production, non-material errors, or any indirect or consequential losses – including but not limited to loss of profit, loss of business, loss of opportunity, or failure to achieve a sale or succession outcome.
We do not guarantee or forecast that our Services will result in any minimum increase in business valuation, revenue, profit, or a successful sale. Outcomes depend on matters outside our control, including your own business decisions, market conditions, buyer appetite, and the actions of third parties.
Subject to the provisions below and to the fullest extent permitted by law, our aggregate liability for all claims arising out of or in connection with these terms – whether in contract, tort (including negligence), or otherwise – shall be limited to the total fees paid by you in respect of the relevant services in the twelve (12) months immediately preceding the event giving rise to the claim. No claim may be brought against My Exit Strategy more than twelve (12) months after such event.
Nothing in these terms limits or excludes any liability that cannot lawfully be limited or excluded.

4. Payment terms

Your agreement to any quote or proposal – whether via email, electronic signature, or written confirmation – constitutes your agreement to pay for the specified Deliverables and Services, and a personal guarantee of payment if you are agreeing on behalf of a company or organisation.
You must also reimburse us for any expenses incurred on your behalf that we have received your prior written authorisation to incur.
Unless otherwise agreed in writing, invoices are payable within 7 days of issue and will include GST where applicable. Late payments will incur a 2% penalty per month on the outstanding balance.

5. Intellectual Property

5.1
My Exit Strategy retains ownership of all intellectual property developed in the course of providing Services, including but not limited to frameworks, methodologies, systems, templates, content, and training programs (“Deliverables”). We may apply learnings, methods, and approaches across other client engagements. Subject to full payment of all invoices under clause 4, we grant you a non-exclusive, worldwide licence to use the Deliverables solely for your internal business purposes. No other rights or licences are granted.

5.2
By engaging My Exit Strategy, you confirm that any materials, images, or content you supply to us are either owned by you or properly licensed for use. You indemnify us against any third-party claims of intellectual property infringement arising from materials you have provided.

6. Approvals

You are deemed to have accepted any Deliverable or Services unless you raise an issue in writing within seven (7) days of receipt. Where an issue is raised, we will use reasonable skill and care to address it, unless the issue falls outside our control or agreed scope. Changes to scope may require an additional fee to be agreed in writing.

7. Variations

We reserve the right to update these Terms of Engagement at any time. However, if you are already engaged in an active service agreement with us, the terms in place at the time of that agreement will continue to apply unless you agree in writing to be bound by updated terms.

8. Termination

We reserve the right to terminate your access to our Website and Services at any time upon written notice. If Services have been prepaid, we may at our discretion either complete those Services or issue a full refund.
You may terminate our Services by providing sixty (60) days written notice. You remain liable for all fees for Services performed and reasonable authorised expenses incurred up to and including the termination date. Clauses 2 to 12 survive termination.

10. Confidential Information

“Confidential Information” means any information disclosed by one party (“Disclosing Party”) to the other (“Recipient Party”) in connection with the Services that is marked confidential or that a reasonable person would understand to be confidential – including but not limited to business strategies, financial data, client information, operational processes, and intellectual property.
Confidential Information does not include information that is already known to the Recipient Party, becomes publicly known through no fault of the Recipient Party, or is received from a third party without restriction.
Confidential Information must not be disclosed to any third party except as necessary to perform the Services, and only to employees, contractors, or advisors who are bound by equivalent confidentiality obligations.

11. Non-solicitation

During the term of our engagement and for twelve (12) months following termination or expiry, you agree not to, directly or indirectly:
(a) solicit, recruit, or induce any employee, contractor, or consultant of My Exit Strategy to leave or provide services to you or any third party;
(b) solicit, contact, or engage any existing client, customer, or partner of My Exit Strategy to divert their business away from us; or
(c) solicit or induce any supplier, vendor, or business partner of My Exit Strategy to reduce or cease their relationship with us.
You acknowledge that these restrictions are reasonable and necessary to protect our legitimate business interests.

12. Governing Law

These terms are governed by the laws of Queensland, Australia. You consent to the exclusive jurisdiction of the Courts of Queensland in any dispute arising out of or relating to the use of our Website or Services. Prior to commencing any legal proceedings, the parties agree to enter into informal mediation in good faith for a period of at least thirty (30) calendar days, unless urgent interlocutory relief is required.

13. Miscellaneous

13.1

No joint venture, partnership, employment, or agency relationship exists between you and My Exit Strategy as a result of these terms or your use of our Services.

13.2

If any provision of these terms is found to be invalid or unenforceable, it will be replaced by a valid provision that most closely reflects the original intent. All remaining provisions continue in full force.

13.3

These terms constitute the entire agreement between the parties in respect of the subject matter and supersede all prior understandings. Amendments must be in writing and signed by both parties.

13.4

Failure by either party to enforce any right or remedy under these terms shall not constitute a waiver of that right or remedy.

13.5

My Exit Strategy may assign its rights and obligations under these terms at any time. The assignee shall be entitled to the full benefit of these terms.

13.6

In the event of a breach or threatened breach, My Exit Strategy is entitled to seek injunctive relief, damages, or any other remedies available at law without the need to post any bond or other security.

13.7

My Exit Strategy shall not be liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control, including acts of God, government actions, industrial disputes, internet disruptions, or changes to third-party platforms.
